Teal Lvbs Software License Agreement

This Teal Lvbs Software License Agreement ("Agreement") is entered into as of the date of download, installation, or use (whichever occurs first) by and between the Licensor ("Licensor") and the Licensee ("Licensee").

1. Grant of License
The Licensor grants the Licensee a non-exclusive, non-transferable, non-sublicensable, and revocable license to use the software program ("Software") solely for personal or internal business purposes, subject to the terms and conditions set forth in this Agreement.

2. Restrictions
(a) The Licensee shall not, without the prior written consent of the Licensor:

    Use, copy, modify, or create derivative works of the Software;
    Distribute, sell, lease, lend, or sublicense the Software to any third party;
    Share, publish, or otherwise make the Software available to the public, whether in whole or in part;
    Reverse engineer, decompile, or disassemble the Software, except to the extent permitted by applicable law notwithstanding this limitation.

(b) Any unauthorized use of the Software will result in the immediate termination of this Agreement and may subject the Licensee to legal action.

3. Intellectual Property
The Software and all copies thereof are the exclusive property of the Licensor. All intellectual property rights in and to the Software are and shall remain the sole and exclusive property of the Licensor.

4. Termination
The Licensor may terminate this Agreement immediately upon written notice to the Licensee if the Licensee breaches any term or condition of this Agreement. Upon termination, the Licensee must immediately cease all use of the Software and destroy all copies in its possession or control.

5. Legal Actions and Compensation
If the Licensee is found to be in breach of this Agreement, the Licensee agrees to pay the Licensor any and all damages, costs, and expenses (including reasonable attorney’s fees) incurred by the Licensor as a result of such breach. The Licensor reserves the right to seek injunctive relief and any other remedies available under applicable law.

6. Disclaimer of Warranties
The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. The Licensor does not warrant that the Software will be error-free or operate without interruption.

7. Limitation of Liability
In no event shall the Licensor be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, incurred by the Licensee or any third party, whether in an action in contract or tort, arising from the use of the Software.

8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of laws principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in [Your Jurisdiction].

9. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, and representations, whether oral or written.

10. Amendments
No modification, amendment, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first above written.

By using the Software, the Licensee acknowledges that they have read, understood, and agreed to be bound by the terms and conditions of this Agreement.
